The agreement has been submitted to the U.S. Securities and Exchange Commission (SEC) and was reached before Bitfarms' special shareholder meeting on November 6, 2024.According to the terms of the settlement, Riot agreed to withdraw its proposal to replace certain members of the Bitfarms board of directors. In exchange, Bitfarms appointed Amy Freedman to the board and assigned her to key committees, including the Governance and Nominating Committee, the Compensation Committee, and any special committee of independent directors.
